Genius Group Plans to Rebuy BTC in Q4, Aiming for $827 Million Bitcoin Treasury by FY 2031
Genius Group has announced a $1.2 billion capital plan, intending to utilize its shelf registration effective from July 2025 as declared by the U.S. SEC to finance both AI and Bitcoin treasuries. The company's board has approved a target to establish an $800 million AI treasury and an $827 million Bitcoin treasury by fiscal year 2031, while increasing total assets to $2 billion. Genius Group plans to use perpetual preferred securities as the primary financing tool, stating that this approach aims to enhance net asset value per share and reduce dilution for common shareholders. The company intends to initially issue $12.5 million in perpetual preferred securities, expected to be non-convertible with floating returns paid monthly; the proceeds will be allocated to the AI treasury, Bitcoin treasury, and a dollar reserve to cover approximately 18 months of preferred stock dividends. Specific terms and issuance timing have yet to be determined. The company currently has a net asset value of $106.6 million, with a net asset value per share of $0.62, and a closing price of $0.18 on August 26. Genius Group anticipates that its net asset value per share could rise to between $2 and $4 over the next five years, although this target depends on the execution of financing and market conditions. The company has previously exited its Bitcoin holdings and plans to resume purchasing BTC in the fourth quarter of 2026.
